1. Agreement to Terms
By accessing or using SaveOnCloud's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Description of Services
SaveOnCloud provides cloud cost optimization services, including:
- Cloud infrastructure cost analysis and auditing
- Automated optimization recommendations
- Reserved instance and savings plan optimization
- Resource rightsizing and waste elimination
- Ongoing monitoring and optimization
3. Account Access
To use our services, you may need to provide us with read-only access to your cloud provider accounts. By granting this access, you represent that:
- You have the authority to grant such access
- The access credentials you provide are accurate
- You will maintain the security of your account credentials
4. Service Limitations
Our optimization recommendations are provided on an "as-is" basis. While we strive for accuracy:
- Savings estimates are projections and not guarantees
- Implementation of recommendations is at your discretion and risk
- We are not responsible for decisions made based on our recommendations
- Cloud provider pricing and features may change without notice
5. Fees and Payment
Our fee structure is based on a percentage of verified savings achieved. Specific terms will be outlined in your service agreement. The free audit service has no cost or obligation.
6. Confidentiality
We treat all customer data as confidential. We will not disclose your cloud spending, infrastructure details, or business information to third parties except as required to provide our services or as required by law.
7. Intellectual Property
All tools, methodologies, reports, and materials provided by SaveOnCloud remain our intellectual property. You receive a license to use reports and recommendations for your internal business purposes only.
8. Limitation of Liability
To the maximum extent permitted by law:
- SaveOnCloud shall not be liable for any indirect, incidental, special, or consequential damages
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We are not liable for any loss or damage arising from your implementation of our recommendations
9. Indemnification
You agree to indemnify and hold SaveOnCloud harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.
10. Termination
Either party may terminate the service relationship with 30 days written notice. Upon termination:
- All access to your cloud accounts will be revoked
- Your data will be deleted within 90 days unless otherwise required by law
- Any outstanding fees remain due and payable
11. Modifications to Terms
We reserve the right to modify these terms at any time. Material changes will be communicated via email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.
12. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
